01. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Pody Network Limited ("Pody," "we," "our," or "us") governing your access to and use of the Pody mobile application and web platform (collectively, the "Platform") and all related services, including the Buy Now, Pay Later (BNPL) instalment facility and student marketplace (the "Services").

By downloading the Pody app, accessing the Platform, creating an account, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (incorporated herein by reference). If you do not agree to these Terms, you must not use the Platform.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT PROVISIONS INCLUDING LIMITATIONS OF LIABILITY, A DISPUTE RESOLUTION CLAUSE, MANDATORY ARBITRATION, AND CONDITIONS RELATING TO CREDIT REPORTING AND ACCOUNT DELETION.

02. Eligibility

To register for and use the Pody Platform, you must meet all of the following eligibility requirements at the time of registration and on a continuing basis:

  • You must be a Nigerian citizen or legal resident with a valid National Identification Number (NIN).
  • You must be a currently enrolled student at a recognised Nigerian tertiary institution (university, polytechnic, college of education, or professional training institution accredited by the relevant regulatory body).
  • You must be at least 18 years of age.
  • You must not have been barred, flagged, or restricted from accessing online marketplace or digital lending platforms by any Nigerian regulatory or law enforcement authority.
  • You must maintain satisfactory academic standing as assessed by Pody at the time of application and periodically thereafter. "Good academic standing" means you are not currently on academic probation, suspension, or expulsion, and you meet the minimum academic performance threshold determined by Pody.
  • You must have a valid Nigerian bank account in your name for repayment purposes.
  • You must not have a pre-existing overdue credit obligation with Pody or a prior Pody account that was terminated for fraud or misrepresentation.

Pody reserves the right to verify your eligibility at any time and to suspend or terminate your account if you no longer meet the eligibility criteria. Minimum eligibility thresholds may vary by institution and may be updated from time to time at Pody's discretion.

03. Account Registration and Security

To access Pody's Services, you must create a user account by completing our registration and KYC process. By registering, you agree to:

  • Provide accurate, current, and complete information during registration and to update such information promptly if it changes.
  • Complete the identity verification process as required (including biometric liveness checks via DIDIT).
  • Provide valid proof of student status at the time of registration and upon periodic re-verification.
  • Maintain the confidentiality of your account login credentials, including but not limited to your password, PIN, and any biometric authentication factors.
  • Accept full responsibility for all activities conducted through your account, whether or not authorised by you.
  • Notify us immediately at hello@pody.network if you suspect unauthorised access to your account.

You may only maintain one (1) Pody account at any time. Creating multiple accounts to circumvent credit limits, eligibility checks, or any restriction is a material breach of these Terms and may result in permanent account termination and reporting to relevant authorities.

04. The Buy Now, Pay Later (BNPL) Service

4.1 Service Description

Pody operates a Buy Now, Pay Later (BNPL) platform that enables eligible Nigerian students to purchase goods and services from approved vendors and repay in structured, interest-free instalments over a defined period. Pody acts as the platform operator and intermediary facilitating this arrangement. Where Pody advances payment to a vendor on your behalf, it does so as a platform service and not as a financial institution. By using the BNPL feature, you enter into a repayment arrangement directly with Pody Network Limited governed by these Terms.

4.2 Interest-Free Nature of the Service

Pody's instalment product is interest-free, meaning we do not charge interest (APR) on your instalment repayments as long as payments are made on time according to your schedule. However, please note:

  • Pody may charge late payment fees, processing fees, or other applicable charges as disclosed in your credit agreement and in Pody's current Fee Schedule, published on the Platform.
  • The interest-free nature of the product does not apply to any outstanding debt after a declared default event.
  • Pody reserves the right to introduce new fee structures with a minimum of 30 (thirty) days' prior notice.

4.3 Credit Limit

Your credit limit is determined by Pody's proprietary credit assessment model, which factors in your academic standing, identity verification results, credit bureau data, repayment history with Pody, and other relevant criteria. Your credit limit is:

  • Personal to you and may not be transferred or shared.
  • Subject to periodic review — it may be increased based on good repayment behaviour or decreased based on risk assessment.
  • Communicated to you within the Platform and via registered email or SMS.

4.4 Repayment

You agree to repay all amounts due to Pody strictly in accordance with the repayment schedule communicated to you at the time of each transaction. Repayment obligations include:

  • Making payments on or before the due date via the approved repayment methods listed in the Platform (debit card, bank transfer, direct debit mandate, or USSD).
  • Ensuring sufficient funds are available in your linked bank account on each repayment date if a direct debit mandate is in place.
  • Notifying Pody's collections team at least 48 (forty-eight) hours in advance of any anticipated difficulty in meeting a repayment obligation.

4.5 Late Payment and Default

A payment is considered late if it is not received within 3 (three) days of the scheduled due date. An account enters default status after 30 (thirty) consecutive days of non-payment. Upon late payment or default:

  • A late payment fee, as specified in the current Fee Schedule, may be applied to your account.
  • Pody will make reasonable attempts to contact you via email, SMS, phone, and in-app notification.
  • The default will be reported to licensed Nigerian credit bureaus in accordance with the Credit Reporting Act 2017.
  • Legal recovery proceedings may be initiated at Pody's discretion.
  • Your account will be suspended pending resolution of the outstanding amount.

A default event on your Pody account may negatively affect your credit profile with Nigerian credit bureaus for up to 7 years. This may affect your ability to access credit or BNPL services from other providers.

05. Vendor Relationships

Pody partners with approved vendors ("Vendors") whose products and services are available for purchase through BNPL on the Platform. By making a BNPL purchase through a Vendor:

  • Your purchase contract for the goods or services is with the Vendor, not with Pody. Pody is the platform operator facilitating the instalment arrangement, not the seller.
  • All product quality, delivery, warranty, and customer service obligations rest with the Vendor.
  • Disputes regarding defective products, non-delivery, or Vendor conduct should be first directed to the Vendor. If unresolved within 5 (five) business days, you may escalate to Pody's disputes team at dispute@pody.network.
  • A successful dispute with a Vendor may result in a refund to your Pody credit balance, which will reduce your outstanding balance; Pody shall not be liable for reimbursing cash directly in such circumstances.
  • Pody does not guarantee the availability or quality of any Vendor product.

06. Prohibited Uses

You agree not to use the Platform or Services for any of the following purposes:

  • Providing false, misleading, or fraudulent information during registration or any subsequent verification process.
  • Using a Pody account opened in another person's name or accessing the account of another user without authorisation.
  • Using the BNPL facility for any illegal purpose, including but not limited to the purchase of prohibited goods, money laundering, or financing of terrorism.
  • Circumventing credit limits by creating multiple accounts.
  • Engaging in any activity that disrupts, overloads, or compromises the security or functionality of the Platform.
  • Attempting to reverse-engineer, decompile, or extract proprietary algorithms or source code from the Platform.
  • Using bots, scripts, or automated tools to interact with the Platform in a manner not intended for end-users.
  • Reselling or transferring your BNPL instalment arrangement to another person.

Violation of any of the above will result in immediate account suspension or termination, forfeiture of any promotional benefits, and may be reported to relevant law enforcement or regulatory authorities.

07. Intellectual Property

All intellectual property rights in and to the Platform, including but not limited to the Pody brand name, logo, software, design, content, algorithms, and any derivative works, are owned by or licensed to Pody Network Limited.

All third-party trademarks, brand names, and product names featured on the Platform are the property of their respective owners. Such trademarks are used by Pody solely for the purpose of marketing and selling their respective products and do not imply any affiliation, endorsement, or sponsorship unless expressly stated.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. You may not:

  • Copy, distribute, modify, or create derivative works of any part of the Platform.
  • Use the Pody name, logo, or branding without our prior written consent.
  • Remove any copyright, trademark, or proprietary notices from the Platform.

08. Third-Party Services and Links

The Platform may integrate with or link to third-party services, including DIDIT (identity verification), Sentry (error monitoring), AWS (cloud services), payment processors, credit bureaus, and Vendor websites. These third-party services are governed by their own terms and privacy policies.

Pody does not control and is not responsible for the content, privacy practices, or reliability of any third-party service. Your use of third-party services is at your own risk, and you should review their terms and policies independently.

09. Disclaimer of Warranties and Limitation of Liability

9.1 Disclaimer

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, PODY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, Pody's total aggregate liability to you for any claims arising out of or related to these Terms or your use of the Services shall not exceed the total amount of fees paid by you to Pody in the 3 (three) months immediately preceding the event giving rise to the claim.

In no event shall Pody be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, goodwill, or business opportunities, even if Pody has been advised of the possibility of such damages.

This limitation does not apply to Pody's liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be limited or excluded by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pody, its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of or access to the Platform.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Any misrepresentation made by you to Pody.
  • Your infringement of any third-party rights.

11. Account Suspension and Termination

11.1 Termination by You

You may terminate your Pody account at any time by submitting a written request to hello@pody.network or through the account settings in the Platform. Account termination is subject to the following conditions:

  • All outstanding repayment obligations must be fully settled before your account can be permanently deleted.
  • Account termination does not affect any legal obligations you have already incurred under any BNPL credit agreement.
  • Data retention obligations applicable to financial and credit records will survive account termination as described in the Privacy Policy.

11.2 Termination by Pody

Pody may suspend or terminate your account at any time, with or without notice, for any of the following reasons:

  • Breach of these Terms or the Privacy Policy.
  • Provision of false, fraudulent, or materially misleading information.
  • Failure to repay amounts due under any credit agreement.
  • Regulatory or compliance requirements (e.g., instruction from the FCCPC, NDPC, or other competent authority).
  • Prolonged inactivity (account inactive for 24 consecutive months).
  • Risk of fraud, money laundering, or other criminal activity.

Upon termination by Pody, any outstanding balance becomes immediately due and payable. We reserve the right to pursue all available legal remedies for outstanding debts.

12. Credit Reporting and Bureau Obligations

You expressly authorise Pody to:

  • Submit credit enquiries to licensed Nigerian credit bureaus on your behalf as part of your credit assessment.
  • Report your repayment history (positive and negative) to licensed Nigerian credit bureaus in accordance with the Credit Reporting Act 2017 and FCCPC digital lending guidelines.
  • Continue to update your credit file with credit bureaus for the duration of any outstanding obligation, even after account deletion.

You acknowledge that accurate credit reporting is a legal obligation of Pody and cannot be waived by you as an individual user. If you believe a credit bureau report contains inaccurate information originating from Pody, you may dispute this by contacting our Credit Reporting team at credit@pody.network. We will investigate and, where applicable, submit a correction to the relevant credit bureau within 21 (twenty-one) business days.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall be subject to the jurisdiction of Nigerian courts and regulatory authorities.

13.2 Complaint Resolution

If you have a complaint or dispute, please follow the steps below:

  1. 1Submit a Complaint

    Write to hello@pody.network or use the in-app complaint feature. Describe the issue clearly and attach any relevant supporting documentation.

  2. 2Acknowledgement and Resolution

    We will acknowledge receipt within 2 (two) business days and aim to resolve your complaint within 10 (ten) business days.

  3. 3Escalation

    If you are dissatisfied with our resolution, you may escalate your complaint to the relevant regulatory authority.

13.3 Arbitration

Without prejudice to your right to approach regulatory bodies or courts, both parties agree that disputes arising from the commercial or contractual terms of these Terms (excluding claims for injunctive relief, emergency remedies, or fraud) may be referred to binding arbitration in Lagos, Nigeria, under the rules of the Lagos Court of Arbitration (LCA). Each party shall bear its own costs unless the arbitrator determines otherwise.

14. Amendments to These Terms

We reserve the right to amend these Terms at any time. Material changes will be communicated to you via email, in-app notification, or prominent notice on the Platform at least 14 (fourteen) days before the changes take effect.

By continuing to use the Platform after the updated Terms take effect, you accept the revised Terms. If you do not agree to the amended Terms, you must stop using the Platform and request account termination.

15. Force Majeure

Pody shall not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, floods, fires, earthquakes, natural disasters, government actions, regulatory changes, acts of terrorism, pandemics, national grid failures, or failures of third-party infrastructure providers such as telecommunications carriers or cloud service providers.

16. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the Terms and the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy and any applicable credit agreement, constitute the entire agreement between you and Pody with respect to your use of the Platform and supersede all prior agreements, representations, and understandings.
